1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the FamilyKeep website, applications, and services (collectively, "FamilyKeep" or the "Service") provided by FamilyKeep. By creating an account, visiting our website, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Description of Service

FamilyKeep is a subscription-based platform that helps families organize and share information about assets, documents, beneficiaries, and emergency plans within a household. The Service includes features such as secure document storage, asset registry, scenario planning (e.g., for incapacity or loss), and role-based access for household members. FamilyKeep is not a password manager and does not store passwords, Social Security numbers, or full credentials for third-party accounts.

3. Account and Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate and complete information when registering and keep it up to date. One subscription covers one household you own; you may also participate in other households as a member under their owner's subscription.

4. Subscription and Billing

Access to the Service requires a paid subscription unless otherwise stated. We offer monthly and annual plans; pricing is displayed at signup and on our website. A 30-day free trial may be available; no payment is charged until the trial ends unless you cancel. Billing is in advance (monthly or annually). You may cancel at any time; cancellation takes effect at the end of the current billing period. Refunds are provided only as required by law or as we expressly state. We may change fees with reasonable notice; continued use after the change constitutes acceptance.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not: use the Service in any way that violates applicable law; upload content you do not have the right to share; attempt to gain unauthorized access to any part of the Service or other users' data; interfere with or disrupt the Service or our systems; use the Service to distribute malware or spam; or resell or sublicense the Service without our written permission. We may suspend or terminate accounts that violate these terms.

6. Your Content and Data

You retain ownership of the content and data you upload or create in FamilyKeep. By using the Service, you grant us a limited license to store, process, and display that content as necessary to provide the Service and as described in our Privacy Policy. You are responsible for ensuring you have the right to upload content and that it does not infringe any third party's rights. We may remove content that violates these Terms or the law.

7. Intellectual Property

FamilyKeep and its branding, design, software, and documentation are owned by us or our licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of our Service or materials except as expressly permitted (e.g., normal use of the Service).

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOU USE THE SERVICE AT YOUR OWN RISK. FAMILYKEEP IS NOT A LAW FIRM, TAX ADVISOR, OR FINANCIAL ADVISOR; THE SERVICE DOES NOT CONSTITUTE LEGAL, TAX, OR FINANCIAL ADVICE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FAMILYKEEP AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES, OUR LIABILITY WILL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

10. Indemnification

You agree to indemnify and hold harmless FamilyKeep and its affiliates and their officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your content, your violation of these Terms, or your violation of any third party's rights.

11. Termination

You may close your account at any time through the Service or by contacting us. We may suspend or terminate your access to the Service for violation of these Terms, non-payment, or for any other reason with notice where required. Upon termination, your right to use the Service ceases. We may retain and use your information as described in our Privacy Policy. Sections that by their nature should survive (e.g., disclaimers, limitation of liability, indemnification) will survive termination.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there. You waive any right to a jury trial and to participate in a class action to the extent permitted by law.

13. General

These Terms constitute the entire agreement between you and FamilyKeep regarding the Service. Our failure to enforce any right or provision does not waive that right or provision. If any provision is held invalid or unenforceable, the remaining provisions remain in effect. We may assign these Terms; you may not assign without our prior written consent.

14. Changes

We may modify these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. Material changes may be communicated via email or a notice in the Service. By continuing to use the Service after changes take effect, you agree to the revised Terms. If you do not agree, you must stop using the Service and may close your account.
